By navigating through, subscribing to, purchasing a membership, or accessing any web page, resource, program, community, workshop, or other product offered by Dental Panda, you agree to comply with and be bound by the following terms and conditions. Please review these terms carefully to understand your responsibilities.

 

Definitions

 

AGREEMENT refers to these Terms and Conditions.

CONTENT refers to the contents of the website domain and sub-domains of https://dentalpanda.net, including but not limited to text, graphics, images, audio, and video assets, including those found on apps and printed media. “Content” does not include User Submitted Content or curated content.

PLATFORM refers to the website Dental Panda (https://dentalpanda.net/), all associated subdomains, and all associated copyrighted content included in associated apps and printed media.

SERVICES refers to the services provided by Dental Panda through the website.

USER GENERATED CONTENT or USER SUBMITTED CONTENT refers to any content that a user submits to the website, including, but not limited to, text, graphics, images, audio, and videos.

USERS refers to anyone who uses Dental Panda services and may be referred to as subscribers or members.

WEBSITE refers to the Dental Panda website.

YOU refers to the person entering into this agreement with Dental Panda.

 

Acceptance of Terms and Conditions

 

By visiting the Dental Panda website and/or using any associated services, you accept and agree to these Terms and Conditions and the Privacy Policy, forming a legal agreement between you and Dental Panda. No joint venture, partnership, employment, contractorship, or agency relationship exists between you and Dental Panda other than as outlined in these Terms and Conditions. You must be at least 18 years old, an emancipated minor, or possess legal parental/guardian consent, and be fully able and competent to abide by and comply with the Terms and Conditions and Privacy Policy to initiate and maintain access to this platform. These terms may not be assigned by you to another party without express approval by Dental Panda.

 

Access

 

Access to this platform is based on the membership level purchased. We reserve the right to update, discontinue, or remove access to any product, template, membership, subscription, or course at any time for any reason. Subscription-based products will renew on a monthly, quarterly, or annual basis. You are granted a non-exclusive, non-transferable, revocable license to access and use the platform strictly in accordance with the Terms and Conditions and Privacy Policy.

If you access the service outside the USA, you are responsible for legal compliance with all local laws in your country and are prohibited from any use that violates applicable laws, restrictions, or regulations.

 

Permitted Use

 

The Website, Content, and Services are owned by Dental Panda LLC and constitute proprietary information protected by United States state and federal copyright and/or trademark law, as well as applicable foreign laws. You are not permitted to modify, reproduce, display, publicly perform, distribute, or sell any content on this platform for any public or commercial purpose without express permission granted by the owner. If you violate any of these terms, your permission to use the content may be terminated. If permitted, you must include the following copyright notice and hyperlink within all material you create and publish, whether online or offline:

As a condition of your use, you agree not to use the services for any illegal or unauthorized purpose and to comply with all applicable laws, rules, and regulations. You are not permitted to undertake any behavior that is violent, unlawful, fraudulent, abusive, threatening, pornographic, racist, defamatory, hateful, or otherwise objectionable as determined by Dental Panda in its sole discretion. You are not permitted to interfere or disrupt the services, including transmitting any works, viruses, spyware, malware, or any other destructive code. Dental Panda has the right to interrupt, suspend, or terminate the services in response to a breach.

The failure of Dental Panda to enforce any right or provision in these Terms of Conditions will not constitute a waiver of such right or provision.

 

Privacy

 

Your continued use of the platform is subject to our Privacy Policy.

 

Terms of Sale

 

By signing up for membership and using the services, you agree to pay and be responsible for all applicable charges and fees. All fees are set in U.S. dollars (USD). You confirm that you are the owner of any payment methods you submit to Dental Panda. By making any payment through the website, you agree to the terms of service for any third-party payment processors utilized by Dental Panda.

The membership tier “Month to Month” will be billed at the start of a new monthly cycle, according to the subscription date, until the service is canceled. You agree to pay for any recurring membership fees until the membership has been canceled. Cessation of services can be managed in the “My Membership” page. Once requested or upon failure of payment, your membership will be immediately canceled. No prorated refund will be provided by Dental Panda under any circumstances.

To the fullest extent permitted by law, fees paid to Dental Panda are non-refundable. Dental Panda may consider refunding fees paid or crediting for services but is under no obligation to do so. Dental Panda will not tolerate any type of chargeback or chargeback threat from any credit card company or other payment service. Dental Panda reserves the right to report the incident to all credit reporting agencies or any other entity for listing as a delinquent account, which could negatively impact your credit score. The information reported may include your name, email address, order date, order amount, and billing address. You are responsible for payment of all taxes, levies, duties, and additional charges expected by state, federal, or international taxation authorities, excluding only United States (federal or state) income taxes.

INBDE Pass Guarantee

 

All purchases are covered by our “INBDE Pass Guarantee,” where you are eligible for a full or partial refund of your membership plan. Success in the INBDE examination is based on many individual factors. Dental Panda cannot guarantee the exam outcome. To qualify for a refund, you must be enrolled in a dental program accredited by the Commission on Dental Accreditation (CODA) and have an active paid membership for at least 45 days prior to your INBDE examination date. You must present verified proof of INBDE exam failure and have completed all course material provided by your paid membership, including all practice exams. Eligibility is at the sole discretion of Dental Panda and determinations are final.

 

User Content

 

You are responsible for maintaining the confidentiality of your account, username, password, and user-generated content while logged into the platform. You agree not to share, assign, sell, transfer, or provide access to the platform to any other person or entity that has not agreed to the Terms and Conditions and Privacy Policy. You are solely responsible for any copying, dissemination, or plagiarism of the content or use of the platform originating from your account. Dental Panda reserves the right to terminate your account, refuse or cancel services, edit or remove content in the event of a breach.

You warrant that you own all intellectual property rights in any user-generated content or have appropriate license rights from the owner. By submitting content to the website, you retain all ownership rights and automatically grant Dental Panda a worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, modify, reproduce, display, publicly perform, distribute, or sell any user-generated content.

Dental Panda is not responsible for and cannot be held liable for the content, performance, products, marketing, services, or business tactics of third-party websites. Liabilities, Indemnification, and Warranties

 

The website and associated services are provided “as is” without warranties of any kind, either expressed or implied. Users assume all risk associated with damages or loss of data resulting from viruses, worms, Trojan horses, and other harmful content linked to the platform or third-party websites. Dental Panda shall not be liable for damages, direct or indirect, due to incidental, special, consequential, punitive, or exemplary circumstances associated with the platform or third-party websites or services.

Dental Panda cannot be held liable for any treatment outcomes based on the content of this platform.

 

Arbitration

 

You agree to resolve any disputes with Dental Panda through arbitration instead of court proceedings. You waive any right to a jury trial and agree that all claims shall be submitted for binding arbitration in accordance with the Rules of the American Arbitration Association (“AAA Rules”). The arbitration will be heard in a location determined by Dental Panda, and the results are final and binding. All information associated with arbitration will be kept confidential, except as lawfully required by governmental agencies.

 

Changes to Terms and Conditions

 

Dental Panda reserves the right to change the Terms and Conditions under which the platform is offered. The most current version will supersede all previous versions. It is your responsibility to stay updated on any changes.

 

Collected Information

 

Dental Panda LLC takes privacy seriously. The website automatically collects and stores personal information from your computer or mobile device to provide services and optimize the platform. We will always have a lawful basis for data collection and will maintain strict protocols to ensure data safety and security. Dental Panda will only ask for the personal information necessary to provide seamless services. Anonymous information cannot be traced back to an individual, whereas identifiable information is specific to an individual user.

Any user must be a human and not a “bot” or other automated method of acquiring login. The “Account Owner” is considered to be the individual who creates the account and may only be used by one person. Shared logins are not permitted.

This information includes Internet protocol (IP) addresses, operating systems, device type, browser type, content viewed, Internet service provider (ISP), location information, names, usernames, web pages visited, and date and time stamps. Additionally, you will be asked to provide the information necessary to process your payment when you checkout. Dental Panda may use this anonymous information to analyze trends, administer services, gather demographic information, and improve services for you. Dental Panda does not collect personal information unless it is willingly provided. Not providing required information can affect the experience or block access to certain features.

In almost all situations, billing information will be processed and captured by third-party vendors, including but not limited to certain payment processors and merchant account providers, and is not captured by Dental Panda. Third-party vendors use in-house compliance according to their own business terms and conditions and privacy policies, which can be reviewed on their websites. By using the platform, you acknowledge and consent that Dental Panda may share your personal information and data with any third party with whom we have a formal or informal relationship to provide the requested product, service, or functionality. By connecting your Dental Panda account to a third-party account, you acknowledge and agree that you are consenting to the continuous sharing of information. Do not subscribe to this feature if you do not want information about you to be shared in this manner.

Our platform and associated services are not intended for use by individuals under 18, and we do not knowingly collect any information from individuals under 18. See our Terms and Conditions regarding minors using this platform. If we become aware that a child under 18 has provided us with personal information, we will take all reasonable steps to remove this information from our servers and database as soon as possible.

Dental Panda will retain commercially reasonable security measures to prevent the loss, unauthorized access, misuse, misrepresentation, and alteration of the information collected by the website but cannot guarantee or be held liable for an inability to prevent such loss, unauthorized access, misuse, misrepresentation, and alteration to you or any third party. Service providers we use are expected to have taken appropriate technological and organizational measures to help protect your personal information from loss, theft, misuse, and unauthorized access, disclosure, modification, and destruction. We cannot control or be responsible for the privacy practices of third-party vendors. Please review our Terms and Conditions regarding liability for any damages that may result.

Dental Panda does not sell, rent, or lease your personal information to any third parties and may disclose your personal information to organizations that perform services for or on behalf of Dental Panda as necessary, such as customer service, research, marketing, data processing, and measuring website performance. Some of these service providers may be located in other countries.

Your personal information will be provided to these organizations only if they agree to strict personal information security policies regarding that information and act in a manner consistent with the relevant principles articulated in this Privacy Policy and in accordance with state and federal law.
